Terms of Service

1. Agreement to Terms

By creating an account or using Quill Ledger (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms apply to all visitors, registered users, and subscribers.

The Service is operated by Arclay Group Ltd ("Arclay Group", "we", "us", or "our").

2. The Nature of the Service (No Financial Advice)

Quill Ledger is a financial analytics, data aggregation, and portfolio visualisation tool. The Service provides information, historical data, AI-generated insights, and analysis tools for educational and informational purposes only.

The Service is not:

  • Financial advice;
  • Investment advice;
  • Tax advice;
  • Legal advice; or
  • A broker, trading venue, or regulated financial service.

Nothing provided through the Service, including AI-generated insights, should be interpreted as a recommendation to buy, sell, or hold any financial instrument. You remain solely responsible for your investment decisions and any actions you take based on information from the Service.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old;
  • Have the legal capacity to enter into a binding contract; and
  • Use the Service only for lawful purposes.

We reserve the right to refuse, suspend, or terminate access to the Service at our discretion, including where we believe these eligibility requirements are not met.

4. Account Registration and Security

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep your details up to date.

You are responsible for:

  • Maintaining the confidentiality of your password and login credentials;
  • Restricting access to your account; and
  • All activities that occur under your account.

If you suspect unauthorised access to your account, you must notify us immediately at support@quillledger.com.

5. Subscriptions, Billing and Free Trial

5.1 Subscription Plans

Quill Ledger offers paid subscription plans, including:

  • Monthly subscription; and
  • Annual subscription (which may be offered at a discounted rate).

5.2 Free Trial

We may offer a 7-day free trial for new users. During the free trial, you may access the Service without charge. At the end of the trial, unless you cancel before the trial expires, your subscription will automatically convert to a paid subscription and the applicable subscription fee will be charged.

5.3 Billing and Payment

All subscription fees are billed in advance on a recurring basis (each a "Billing Cycle"). Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it in your account settings.

We use Stripe as our third-party payment processor. We do not store your full payment card details on our servers. By subscribing, you authorise us (through Stripe) to charge your selected payment method for the applicable fees.

5.4 Failed Payments and Grace Period

If a payment fails, you will have a 3-day grace period to update your payment method. If payment is not successfully processed within this period, we may suspend or restrict access to the Service until payment is completed.

5.5 Cancellations and Refunds

You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of your current Billing Cycle, and you will retain access until that date.

Subscription fees are non-refundable, and we do not provide partial or prorated refunds for unused time, except where required by applicable law.

6. User-Generated Content (Forums and Community)

The Service may include forums, discussions, and other areas where you can post content ("User Content"). You are solely responsible for the content you post, including its legality, reliability, and appropriateness.

By posting User Content, you grant Arclay Group a non-exclusive, worldwide, royalty-free, sublicensable and transferable licence to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such content in connection with operating and improving the Service.

You must not post content that:

  • Constitutes financial promotions or regulated financial advice;
  • Is unlawful, defamatory, hateful, harassing, discriminatory, or otherwise objectionable;
  • Infringes any copyright, trademark, or other intellectual property rights;
  • Impersonates others or misrepresents your affiliation; or
  • Contains malicious software, spam, or fraudulent links.

We may, but are not obliged to, monitor, edit, or remove User Content that we determine, at our sole discretion, violates these Terms or is otherwise harmful.

7. Third-Party Integrations and Data Sources

The Service integrates with various third-party services and data sources, including but not limited to:

  • Broker integrations (such as Trading212 and Interactive Brokers via Flex API);
  • Market data providers (such as EOD Historical Data and yFinance); and
  • Future brokers and data providers as we expand.

We do not control and are not responsible for the content, accuracy, timeliness, or availability of data from third-party providers. Your relationship with any broker or third-party service remains subject to their separate terms and conditions.

Service interruptions or inaccuracies arising from third-party providers are not our responsibility, and we will not be liable for any resulting loss or damage.

8. Platform Availability and Maintenance

We aim to provide a reliable and continuous Service. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, infrastructure issues, third-party outages, or events beyond our control.

We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. To the maximum extent permitted by law, we will not be liable for any loss arising from such modifications or interruptions.

9. AI Assistant and Automated Outputs

Quill Ledger uses AI models, including those provided by OpenAI via zero-retention APIs, to generate insights, explanations, and analysis. AI outputs may contain errors, omissions, or biases and may not always reflect current market conditions or your specific circumstances.

AI-generated content is provided for informational and educational purposes only and does not constitute advice of any kind. You are solely responsible for verifying information and for any decisions or actions taken based on AI outputs.

10. Prohibited Uses

You agree not to use the Service to:

  • Engage in any unlawful or fraudulent activity;
  • Reverse engineer, decompile, or attempt to extract source code or underlying algorithms;
  • Bypass or interfere with security or access controls;
  • Access or attempt to access other users' data without authorisation;
  • Automate use of the Service via bots or scripts without our prior written consent;
  • Scrape, harvest, or extract data in bulk for commercial purposes; or
  • Disrupt or degrade the performance of the Service.

11. Intellectual Property

The Service, including its software, design, branding, AI logic, and all intellectual property rights, is owned by Arclay Group Ltd and its licensors. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have breached these Terms, engaged in fraudulent or illegal activity, or created risk or possible legal exposure for us.

Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms, including those relating to intellectual property, limitation of liability, and governing law, will survive termination.

13. Limitation of Liability

To the maximum extent permitted by law, Arclay Group Ltd, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Service.

We do not guarantee the accuracy or completeness of any information, data, or AI-generated content provided through the Service.

14. Indemnity

You agree to indemnify and hold harmless Arclay Group Ltd, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service;
  • Your violation of these Terms; or
  • Your violation of any rights of another person or entity.

15. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or related to these Terms or your use of the Service.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' notice before the new terms take effect, for example by email or by displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
